Continuous LLC (cntnus) Master Terms of Service
Effective Date: October 22, 2026
Version: 2026.10
These Master Terms of Service (the "Agreement") constitute a binding legal contract between you (either an individual or a legal entity, "You" or "Customer") and Continuous LLC, doing business as cntnus ("cntnus," "we," "us," or "our"). This Agreement governs your access to and use of all websites, applications, APIs, Model Context Protocol (MCP) servers, command-line interfaces, software, and services hosted on *.cntnus.app or otherwise provided by cntnus (collectively, the "Services").
By clicking "I Agree," creating an account, authenticating via Ulex or an API key, executing an MCP tool call, or otherwise accessing the Services, you agree to be bound by this Agreement, our Acceptable Use Policy, and our Privacy Policy.
Part I: Universal Core Terms
1. Eligibility & Account Governance
- 1.1 Age Requirements: You must be at least 16 years old to use general Services, and at least 18 years old (or 21 years old where required by local jurisdiction) to access any Service governed by Schedule D (Social Casino, Poker & Virtual Credits).
- 1.2 Unified Identity & Credentials: Authentication across Services may be managed via our centralized identity provider (Ulex) or service-specific cryptographic credentials (API keys, OAuth 2.1 tokens, X.509 certificates, or SSH keys). You are strictly responsible for all activities—whether executed by a human user or an autonomous AI agent—that occur under your credentials.
- 1.3 Free, Hobby & Sandbox Tiers: Services or project tiers offered free of charge ("Hobby" or "Sandbox" tiers) are provided without uptime guarantees or Service Level Agreements (SLAs). We reserve the right to hibernate, throttle, reclaim, or delete inactive Hobby resources at any time with or without notice.
2. Customer Content & Intellectual Property
- 2.1 Ownership of Your Content: As between you and cntnus, you retain all ownership rights in the code, data, notes, artwork, database records, and files you submit to the Services ("Customer Content").
- 2.2 License to Host & Transmit: You grant cntnus a worldwide, non-exclusive, royalty-free license to host, store, transmit, cache, display, and process Customer Content solely as necessary to provide, secure, and maintain the Services.
- 2.3 Public & Shared Content: Where a Service enables you to publish links, public status pages, shared wikis, infinite-canvas artwork, or embeddable voting widgets, you grant cntnus and end viewers the right to access and display that content as configured by your sharing settings.
- 2.4 No Default AI Model Training: We do not use your private Customer Content (such as private notes, database tables, or encrypted secrets) to train or fine-tune foundational artificial intelligence models unless you explicitly opt in.
3. Fees, Billing & Taxes
For paid tiers, fees are billed in advance or on a metered consumption basis as specified at checkout. All fees are non-refundable except where required by law. We may suspend access immediately for delinquent accounts or suspected payment fraud.
4. Disclaimers & Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CNTNUS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, IMMUNE FROM DATA LOSS, OR FREE OF HARMFUL COMPONENTS.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- No Consequential Damages: IN NO EVENT SHALL CNTNUS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR CRYPTOGRAPHIC KEYS.
- Liability Cap: CNTNUS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CNTNUS FOR THE APPLICABLE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
6. Indemnification
You agree to defend, indemnify, and hold harmless Continuous LLC, its officers, members, and affiliates from and against any third-party claims, regulatory fines, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your Customer Content; (b) your or your AI agents' violation of this Agreement or the Acceptable Use Policy; or (c) your violation of any third-party rights or applicable laws.
7. Governing Law, Arbitration & Class Action Waiver
This Agreement is governed by the laws of the State of Michigan, excluding its conflict-of-law principles. Any dispute arising under this Agreement shall be resolved exclusively through binding individual arbitration in Oakland County, Michigan, administered by the American Arbitration Association (AAA), except that either party may bring qualifying claims in small claims court or seek injunctive relief for intellectual property or security abuse. YOU AND CNTNUS WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
Part II: Service-Specific Schedules
The following Schedules automatically apply when you access the corresponding category of cntnus Services.
Schedule A: Autonomous AI Agents, MCP Servers & LLM Services
Applies to AI agent proxies, Model Context Protocol (MCP) endpoints, semantic safety/moderation engines, and agent-accessible APIs.
- Principal Liability for Autonomous Agents: If you connect an autonomous AI agent, LLM workflow, or MCP client to our Services, you act as the legal principal for all actions, API calls, database mutations, and outbound communications initiated by that agent. "Agent hallucination" or unintended loop execution does not absolve you of financial or legal responsibility.
- Probabilistic Outputs Disclaimer: Outputs generated by semantic auditing, content moderation, or LLM-backed Services are probabilistic and for informational assistance only. They do not constitute legal, compliance, medical, or financial advice. You are solely responsible for human-in-the-loop verification where required by law (including the EU AI Act and Colorado AI Act).
- Scoped Credentials & Kill Switches: You must authenticate agents using dedicated, least-privilege credentials (such as IAM Roles Anywhere X.509 certificates or scoped OAuth tokens). We reserve the right to immediately revoke agent credentials or trip automated circuit breakers if an agent exhibits runaway recursion or anomalous request velocity.
Schedule B: Network, Messaging, URL Shortener, Webhook & Probe Utilities
Applies to URL shorteners, synthetic latency monitoring, HTTP request inspectors, and multi-channel messaging/webhook dispatchers.
- Authorized Target Mandate: You may only configure synthetic monitoring probes, webhook dispatchers, or HTTP testing clients to send traffic to endpoints, domains, and IP addresses that you own or have explicit written authorization to test. Using our infrastructure for third-party port scanning, SSRF exploitation, or load/stress testing is strictly prohibited.
- URL Shortener & Redirect Integrity: We reserve the right to immediately disable, interstitial-warn, or permanently tombstone any shortened URL that redirects to phishing kits, malware, CSAM, credential harvesters, or deceptive scams.
- Telecommunications & Messaging Compliance: Where you use our messaging or inbox workflows to contact external recipients, you are the sole "sender" or "initiator" under the TCPA, CAN-SPAM Act, TSR, and GDPR. You must maintain verifiable opt-in consent and honor opt-out (
STOP/ unsubscribe) requests immediately.
Schedule C: Cloud Storage, DBaaS, Sync Engines & Zero-Knowledge Utilities
Applies to serverless SQL/NoSQL DBaaS, content synchronization/backup tools, personal knowledge bases, and client-encrypted secret sharing.
- Zero-Knowledge Encryption Safe Harbor: For client-side encrypted utilities (e.g., one-time secret sharing), encryption and decryption occur via the Web Crypto API in your client environment. cntnus never possesses your plaintext keys, cannot recover lost or expired secrets, and exercises zero editorial control over encrypted payloads.
- Prohibition on Unapproved Regulated Data: Unless you have executed a separate Enterprise Business Associate Agreement (BAA) or custom Data Processing Agreement with cntnus, you may not use the Services to store or transmit Protected Health Information (PHI under HIPAA), payment cardholder data (PCI-DSS), or government-classified information (ITAR/EAR).
- Shared Responsibility & Backups: While we maintain infrastructure resilience, you are solely responsible for maintaining independent backups of your databases, markdown wikis, and synced content.
Schedule D: Social Casino, Poker, PvP Gaming & Virtual Credits
Applies to social casino games, Texas Hold'em poker platforms, PvP card games, and leaderboard arcade games.
- STRICT ENTERTAINMENT ONLY — NO REAL-MONEY GAMBLING: All cntnus gaming applications operate exclusively as free-to-play or pure entertainment social games. No real-money gambling, sweepstakes redemption, or cash-out mechanism is offered on any Service.
- Virtual Credits Have Zero Monetary Value: Any virtual coins, chips, credits, cards, points, or leaderboard ranks ("Virtual Items") exist solely for entertainment within the applicable game. Virtual Items:
* Are licensed to you on a limited, personal, revocable, non-transferable basis and are not your private property;
* Have zero cash or real-world monetary value ($0.00) and are not operated as a dual-currency sweepstakes system (in full compliance with California AB 831, Washington RCW 9.46, and similar state laws);
* Cannot be redeemed, cashed out, exchanged, sold, or transferred for fiat currency, cryptocurrency, gift cards, or tangible goods or prizes of any kind.
- Third-Party Trading Prohibition: Any attempt to sell, buy, broker, or transfer Virtual Items or game accounts outside the Service is a material breach of this Agreement and will result in immediate account termination and forfeiture of all Virtual Items.
- Provably Fair Logic & Anti-Cheat Enforcement: Where games implement cryptographic "provably fair" RNG seed verification or server-verified anti-cheat leaderboards, tampering with client memory, WebSocket frames, canvas state, or utilizing unauthorized poker/game bots will result in immediate permanent ban and leaderboard removal. We may rebalance, reset, or expire Virtual Items at any time without liability.
Schedule E: Blockchain Indexers, Cryptographic Libraries & Open-Source Tooling
Applies to Handshake (HNS) block explorers, decentralized TLD indexers, Rust cryptographic libraries, and open-source frameworks.
- Public Blockchain Immutability: Our blockchain explorer Services read and index publicly broadcast data from decentralized peer-to-peer networks (such as the Handshake blockchain). cntnus does not operate or control the underlying blockchain protocol and cannot modify, censor, reverse, or delete transactions, domain records, or cryptographic data recorded on a public ledger.
- Non-Custodial & No Financial Advice: cntnus never takes custody of your blockchain private keys, seed phrases, or coins. Information displayed on our explorers is for technical reference only and does not constitute financial, investment, or legal advice.
- Open-Source Precedence: Where we release CLI tools, frameworks, or Rust/TypeScript libraries under an open-source license (e.g., MIT or Apache 2.0), the terms of that open-source license govern your use of the source code locally, while this Agreement governs your use of any hosted
*.cntnus.appAPIs or cloud services.
